A search engine is machine driven and indexed, while a web directory is built and edited by human editors.

A search engine indexes individual web pages, while a web directory focuses on listing web sites as a whole and not the individual pages within those sites.

A search engine generally draws search results by matching the search words against the actual full page data in its database. A web directory matches search words purely against the title, description and url (and often the category too).
